El Roby Law Firm advised on the incorporation of the company and structured its corporate objects and management authorities to support its integrated business model covering the manufacture and trading of ready-made garments, fabrics and yarns, wholesale and retail distribution, import and export activities, commercial agencies and the establishment and operation of retail branches.
The firm’s role continued as the company expanded and increased its issued and fully paid capital to EGP 12.5 million, while developing a network of retail branches across key locations in Cairo, Alexandria, Madinaty and New Cairo.
The firm also led the legal and commercial negotiations with Majid Al Futtaim Properties Egypt in connection with the lease and operation of unit GA35 at City Centre Alexandria. The approximately 88.88 sq m unit is operated by Fabric Tales for the sale of garments, fashion products and accessories.
The firm advised on the institutional retail lease and its financial and operational requirements, including base rent, service and marketing charges, turnover-based rent, bank security, deposits, fit-out and opening requirements, insurance, operating hours, financial reporting and audit obligations, and default and termination provisions.
The firm further advised on the branch’s regulatory position and the process for obtaining a public-shop licence under Egyptian Public Shops Law No. 154 of 2019, including aligning the branch’s registered activities and documentation with the applicable commercial, tax, technical and licensing requirements.
The Fabric Tales branch at City Centre Alexandria commenced commercial operations in February 2024, and the final licensing process remains ongoing before the competent authorities.
The matter reflects a long-standing legal and commercial relationship covering the client’s corporate establishment, capital growth, retail expansion, institutional leasing, branch operations and regulatory licensing, combining corporate law, commercial contracts, retail and commercial real estate, tax compliance and regulatory matters.
The company’s issued and fully paid capital stands at EGP 12.5 million. The City Centre Alexandria lease also provides for variable rent calculated at 12% of gross sales, in addition to other contractual financial obligations and security arrangements.
