Incorporation and Structuring of Goalarz Software Development

Representation of Goalarz for Software Development in connection with its incorporation and legal structuring, with continuing legal support following incorporation on the commercial, regulatory and contractual matters required to move the company from establishment to operational readiness.

El Roby Law Firm incorporated the company as an Egyptian single-member limited liability company and structured its management and authority framework to reflect the nature of its technology business and the requirements for managing operations and entering into commercial arrangements.

The firm also drafted the company’s corporate objects beyond conventional software development to cover the specification, design and production of software, applications, databases and information systems, electronic content and data processing, as well as the development and operation of embedded systems and related training activities.

The structure was designed to provide sufficient legal flexibility for the development of the company’s technology products and business model, while maintaining a clear distinction between corporate incorporation and any sector-specific licences or approvals that may become applicable to particular products or services as the business develops.

The mandate also included the company’s commercial-name procedures, registered-office documentation, Chamber of Commerce requirements and related registrations, together with post-incorporation advice to ensure that subsequent procedures remained aligned with the company’s corporate objects, management authorities and legal framework.

The firm continues to advise Goalarz on future contracts, operational readiness, the alignment of its technology products and services with its registered activities, and regulatory requirements that may arise as the business develops.

The matter demonstrates the firm’s experience in supporting technology start-ups through a combination of corporate incorporation, legal structuring, operational drafting and commercial, tax and regulatory compliance, rather than treating incorporation as a purely procedural exercise.
