El Roby Law Firm advised on the establishment of the Egyptian limited partnership, including its ownership and management structure and the drafting of its corporate objects to reflect its multi-activity business model, while aligning its Commercial Registry, tax and premises documentation with the intended activities.
The firm also led the legal and commercial negotiations with Al Assema Bus Transport Company and revised the agency and outlet-operation agreement under which Nash Go operates an outlet for the marketing, booking and sale of intercity passenger-transport tickets from its premises in Ameriya.
The agreement establishes the parties’ operational and financial responsibilities, including revenue collection and remittance, account reconciliation, commission arrangements, provision and use of the ticket-booking system, employee training and a cash security deposit of EGP 250,000, together with the mechanism for its reconciliation and return upon termination of the contractual relationship.
The firm also advised on risks relating to ticket and revenue custody, financial and operational obligations, contractual breaches, penalties and termination, including notice and cure mechanisms for specified defaults.
The matter enabled Nash Go to progress from incorporation to an operating model combining private transport, limousine and car rental services with the operation of a commercial outlet for the booking, marketing and sale of passenger tickets on behalf of an established transport operator.
The company has registered capital of EGP 50,000 and a contractual cash security deposit of EGP 250,000, in addition to variable operating commissions linked to ticket and service revenues.
The firm continues to advise on the remaining regulatory approvals and operating licences required for the full commencement of the business.
