Handling Inspections and Seizure of Company Documents by Regulatory or Investigative Authorities

The arrival of judicial officers or inspectors from a regulatory authority at company premises may require management to make decisions within minutes. Handling inspections and seizure of company documents by regulatory or investigative authorities requires, first, distinguishing between a criminal search governed by criminal-procedure rules and a regulatory inspection or visit based on sector-specific legislation granting the competent authority defined powers to inspect, request information or examine premises.

This distinction is not theoretical. It determines the scope of authority, the documents that may be requested, how the company should record reservations, and whether the procedure concerns a compliance review or collection of evidence in connection with suspected criminal conduct. For Egyptian companies and international groups, having a pre-established Dawn Raid Protocol reduces the risk of business disruption, over-disclosure or conduct that could be interpreted as obstruction.

I. Do Not Confuse a Criminal Search with a Regulatory Inspection

A criminal search is an evidence-gathering measure governed by the Code of Criminal Procedure and applicable special laws. A regulatory inspection may be conducted by an administrative or regulatory authority within the powers granted by the legislation governing the activity.

The presence of an inspector at company premises does not necessarily mean that a “criminal raid” is taking place, just as the absence of a Public Prosecution warrant does not make every regulatory visit unlawful where sector legislation authorises inspection or access to records.

The Code of Criminal Procedure in Force in October 2026

At the date of this article, the general criminal-procedure framework remains Law No. 150 of 1950. New Law No. 174 of 2025 has been enacted to replace it, but its effective date has been postponed until 1 October 2027.

Accordingly, care should be taken not to apply provisions of the new law to conduct occurring in 2026 as though they were already in force.

Searches of Company Premises: There Is No Single Rule for Every Case

The legality of entry and search depends on the nature of the premises, capacity of the officer, offence under investigation, whether the case is in flagrante delicto, the terms of any warrant, and any special law conferring search or inspection powers.

Accordingly, the statement “company premises may never be entered without a judicial warrant” is inaccurate, just as it is incorrect to assume that judicial-officer status provides unrestricted authority to search everything.

First Step When the Inspection Team Arrives

Reception and security staff should understand that their role is not to debate the merits of the investigation or resist the team, but to verify identity and immediately notify Legal or the designated management function.

It is preferable to request sight of official identification and the document setting out the basis of the visit, order or mandate, and to record the names of attendees and the authorities they represent.

Reviewing the Legal Basis and Scope

The legal team should identify the type of procedure: search or seizure order, tax audit mandate, regulatory inspection, document request, or action by an officer exercising special statutory powers.

The geographic, personal, data or activity scope should then be reviewed without obstructing lawful execution.

Can Inspectors Be Kept in a Meeting Room?

The company may organise reception arrangements and accompany the inspection team as long as this does not obstruct exercise of lawful authority. However, it should not be assumed that the company can confine judicial officers to one room where the legal basis authorises access to specified areas within the premises.

The purpose of accompaniment is documentation and facilitation, not the imposition of restrictions inconsistent with the scope of authority.

Notifying Local Counsel

Internal Legal and Local Counsel should preferably be contacted immediately, particularly during criminal searches or high-risk regulatory visits.

However, requesting counsel’s attendance should not be assumed automatically to suspend the procedure until counsel arrives. Where the authority is legally entitled to proceed, obstruction should be avoided while recording the request for legal attendance.

Does the Right to Counsel Suspend the Search?

The right of defence has constitutional and procedural importance, but rules governing legal attendance vary according to the nature and stage of the procedure and the status of the person concerned.

It is therefore inaccurate to state as a general rule that a search at company premises may not begin or continue unless the company’s lawyer is present.

Appointing an Internal Escort Team

It is preferable to designate one representative from Legal and another from IT where digital data is involved so that requests, locations, documents and devices handled during the visit can be logged.

The escort team should not become a barrier preventing officers from carrying out what the law permits.

Recording What Was Seized or Delivered

Any seizure record or list of items and documents should be reviewed carefully, with requests to record descriptions of devices and papers as accurately as reasonably possible together with any material reservations.

Where the company voluntarily provides documents outside a formal seizure, a separate register should be maintained showing what was delivered and on what basis.

Do Not Sign an Unreviewed Record

The record should be read before signature, inaccurate details corrected, and any appropriate comments or reservations added depending on the procedure.

Signature does not automatically convert every statement in the record into a company “confession,” but imprecise wording may create avoidable disputes.

Digital Evidence and Devices

Where the procedure involves computers, phones or servers, IT should be involved immediately to identify critical systems and assess how disconnection or imaging of a device may affect business continuity.

Employees must not delete files, reformat devices or change passwords with the intention of preventing lawful access once they become aware of the procedure.

Can the Company Create a Backup Before Surrendering a Device?

It is unsafe to state that the company always has a right to make a copy before surrender. Where a device is subject to immediate seizure, the procedure should not be delayed and the device should not be handled in a way that may alter data.

The company may request permission to obtain a copy necessary for business continuity or later seek a copy from the competent authority depending on the procedure.

Scope of Access to Servers

Where the request is specific, the company should cooperate in extracting relevant data rather than opening unrestricted access where that approach is consistent with the authority’s legal powers.

Where a seizure order or special law grants broader powers, the company should not unilaterally narrow them; the appropriate course is to record an objection or reservation and pursue the proper legal remedy.

Trade Secrets Do Not Prevent Lawful Seizure

The fact that documents contain Trade Secrets or sensitive financial information does not make them immune from lawful inspection or seizure where they fall within the authorised scope.

The authority should nevertheless be informed of the confidential nature of the data and, where appropriate, asked to record that fact, while internal circulation within the company remains restricted.

Company Communications with Lawyers

Sensitive legal communications should be segregated and brought promptly to counsel’s attention if they fall within a large body of data requested for review.

It should not be assumed that every message sent to a lawyer automatically enjoys absolute immunity from all procedures. The nature of the communication, legal basis and type of procedure must be assessed.

Egyptian Competition Authority

Competition Protection and Prohibition of Monopolistic Practices Law No. 3 of 2005 grants certain ECA employees judicial-officer status by decision of the Minister of Justice, and the applicable rules define their powers to obtain information and documents necessary for the Authority’s functions.

An ECA visit should therefore be handled under the Authority’s specific legal framework rather than reduced to the model of a conventional criminal search.

Financial Regulatory Authority

The Financial Regulatory Authority was established by Law No. 10 of 2009 and supervises non-banking financial markets and instruments, including capital markets, insurance, mortgage finance, financial leasing, factoring and other activities.

Inspection and supervisory powers differ according to the legislation governing each activity and FRA decisions. The relevant activity and applicable decision should therefore be identified before objecting to an inspector’s request.

Egyptian Tax Authority

Tax inspection, review and seizure procedures are governed by Unified Tax Procedures Law No. 206 of 2020, as amended, together with the substantive tax legislation.

The law has undergone recent amendments, including amendments in 2025 and 2026, so obsolete provisions should not be relied upon when determining the authority of tax officials.

GAFI Is Not a General Criminal Inspection Authority

The General Authority for Investment and Free Zones exercises functions under the Investment Law, Companies Law and related supervisory and service frameworks, but it is not a general criminal-enforcement authority for all company offences.

The statutory basis for any visit or document request should therefore be identified rather than treating GAFI, the FRA, tax authorities and the Competition Authority as though they exercise one identical legal power.

Resisting Authorities and Obstructing the Procedure

Physical resistance, concealment of documents or directing employees to delete data should be avoided. However, not every legal disagreement with an inspector automatically constitutes the offence of “resisting authorities.”

A company may raise a legal reservation or request that its objection be recorded without obstructing lawful execution.

Destruction or Concealment of Documents

Once the company becomes aware of an investigation or inspection, an immediate Hold should be placed on relevant documents and data and any periodic deletion process that may cause loss should be suspended.

Deliberate handling of evidence with the purpose of concealing it may create independent criminal risk depending on the facts and applicable provisions.

Employee Statements During the Visit

Employees should be trained not to speculate or give answers they are unsure about and to refer legal questions, or questions outside their responsibilities, to the appropriate person.

They must not be trained to provide false information or conceal facts that the law requires to be disclosed.

Can an Employee Refuse to Speak?

The answer depends on the authority involved, the employee’s capacity, whether the request is part of a regulatory clarification or a criminal investigation, and any statutory duty to provide information.

A Dawn Raid Protocol should therefore not contain a blanket instruction to remain silent or refuse to answer in every case.

Business Continuity

Seizure of a critical device or record may affect payroll, production or daily transactions. The impact should be documented and lawful alternatives requested where possible, such as a copy of data or access to essential operational information.

Business continuity does not, however, justify preventing seizure of an original item required for the investigation.

Internal and External Communications During the Inspection

Unnecessary internal messages and speculation about the reason for the visit should be minimised, and one person should be designated to communicate with senior management and the media if the matter becomes public.

Statements implying guilt or accusing the authority of misconduct should not be issued before the facts are reviewed.

Listed Companies and Disclosure

Where a company is listed or subject to sector-specific disclosure rules, an inspection or investigation may raise the question whether the event is material and requires disclosure.

Not every visit should automatically be disclosed, and a legally disclosable event should not be concealed; the relevant market and regulator rules should be applied.

International Companies and Notification to Headquarters

Regional Legal should be notified in accordance with group protocol, but sharing data or copies of records outside Egypt should comply with Egyptian law, data protection and confidentiality requirements.

The existence of the GDPR or a foreign policy does not entitle a company to refuse a lawful request issued by an Egyptian authority. Any conflict should be managed through specialist counsel.

Translation of Official Records

An international group may need translations of inspection records to understand the risk, but the original Arabic version remains the reference document issued in Egypt.

An internal translation should be distinguished from any official translation required by an authority or court.

Response Checklist for the First 30 Minutes

  • Verify the identity of team members and the authority they represent.
  • Notify Legal and Local Counsel immediately.
  • Request sight of the order, mandate or legal basis and record its scope.
  • Appoint a single escort team and avoid multiple spokespersons.
  • Notify IT where data or devices fall within scope.
  • Prevent any deliberate deletion, destruction or alteration of data.
  • Start a chronological log of events, requests, documents and devices.
  • Do not sign any record before reading it and recording appropriate reservations.
  • Maintain internal confidentiality on a Need-to-Know basis.
  • Assess the effect on business continuity and any disclosure obligation.

Common Errors

Common errors include resisting the team before understanding its legal capacity, treating every administrative visit as a criminal search requiring a Public Prosecution warrant, or assuming that asking for a lawyer automatically suspends the procedure.

Other errors include creating backups or moving files after seizure begins without coordination, providing broad data merely out of fear where the request is specific, or deleting data once news of the inspection arrives.

Best Practice: Dawn Raid Protocol

The protocol should contain separate instructions for reception, security, Legal, IT and senior management, emergency contact numbers, an Incident Log template, and procedures for handling devices and documents.

Periodic simulation training is also advisable, especially for companies exposed to competition, tax, FRA or intensive sector-regulatory oversight.

When Is Specialist Legal Counsel or Local Counsel in Egypt Necessary?

Local Counsel should preferably be involved immediately when an investigative authority or judicial officers arrive, particularly where there is a seizure order, broad data request or possible seizure of servers and devices.

Counsel is also important after the visit to assess legality, review official records, follow up seized items and manage any parallel internal investigation without prejudicing the official process.

How Can Specialist Legal Support Help?

El Rouby Law Firm supports companies in preparing Dawn Raid Protocols and training response teams, reviewing the scope of warrants and regulatory requests, and accompanying companies during inspection and seizure procedures where possible.

The firm also provides support on risk management and compliance, related policies and contracts, dispute prevention, negotiation and settlement, litigation and arbitration in connected contractual matters, and representation before the Public Prosecution, Egyptian Competition Authority, Financial Regulatory Authority, Egyptian Tax Authority, GAFI and other competent Egyptian authorities.

Conclusion

The correct response to an inspection lies neither in resistance nor in unlimited surrender. It begins with identifying the authority, legal basis and scope of power, followed by controlled cooperation, contemporaneous documentation and preservation of the company’s rights.

Where your company is exposed to regulatory visits or needs a Dawn Raid Response plan, El Rouby Law Firm can review the protocol, train response teams and provide legal support when the procedure occurs.
